By accessing, browsing, creating an account, submitting content, publishing a listing, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.

If you do not agree with these Terms, you must immediately discontinue use of the Platform.

1. Eligibility

You represent and warrant that:

• You are at least eighteen (18) years of age or possess the legal capacity to enter into binding agreements under applicable laws;
• All information submitted by you is accurate, complete, and current;
• Your use of the Platform will not violate any applicable law, regulation, or third-party right.

2. Nature of Services

Nepal Guidify operates an online platform that may provide services including, but not limited to:

• Business and professional directory listings;
• Marketplace and classified advertisements;
• Job and employment listings;
• Hotel, travel, and accommodation listings;
• Community information services;
• Advertising and promotional services;
• User account and profile management services.

Nepal Guidify acts solely as a technology platform facilitating access to information and communication among users and does not own, control, guarantee, endorse, or verify third-party products, services, businesses, employers, or listings unless expressly stated otherwise.

3. User Accounts

Certain features of the Platform may require account registration.

Users are solely responsible for:

• Maintaining the confidentiality of account credentials;
• Restricting unauthorized access to their account;
• Ensuring the accuracy of account information;
• All activities occurring under their account.

Users must immediately notify Nepal Guidify of any suspected unauthorized use of an account or security breach.

Nepal Guidify reserves the right to suspend, restrict, or terminate any account at its sole discretion where a violation of these Terms is suspected.

4. User Content

Users may submit, upload, publish, transmit, display, or otherwise make available content including business information, listings, reviews, comments, images, videos, advertisements, descriptions, and other materials ("User Content").

By submitting User Content, you represent and warrant that:

• You own or possess all necessary rights to the content;
• The content is accurate and lawful;
• The content does not infringe any third-party rights;
• The content does not violate any applicable law.

You grant Nepal Guidify a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, publish, display, distribute, and promote such User Content in connection with the operation, promotion, and improvement of the Platform.

5. Prohibited Activities

Users shall not:

• Submit false, misleading, fraudulent, or deceptive information;
• Violate any applicable law or regulation;
• Infringe intellectual property rights;
• Upload malicious software, viruses, or harmful code;
• Interfere with Platform functionality or security;
• Collect personal information of other users without authorization;
• Use automated tools to scrape, harvest, or copy content;
• Engage in harassment, abuse, threats, or unlawful conduct;
• Create fake accounts or impersonate other persons or entities.

6. Business Listings and Advertisements

Users are solely responsible for the accuracy, legality, completeness, and truthfulness of business listings, advertisements, promotions, offers, and other content submitted to the Platform.

Nepal Guidify does not guarantee listing visibility, ranking, business outcomes, customer acquisition, revenue generation, or advertising results.

Nepal Guidify reserves the right to review, edit, reject, remove, suspend, or disable any listing or advertisement at its sole discretion.

7. Marketplace Transactions

Where marketplace or classified services are made available, transactions occur directly between users.

Nepal Guidify is not a party to any agreement, transaction, negotiation, payment arrangement, dispute, or contract entered into between users.

Accordingly, Nepal Guidify disclaims all liability relating to products, services, payments, delivery, warranties, disputes, refunds, returns, or transaction outcomes.

8. Employment Listings

Job listings and recruitment opportunities are provided by independent third parties.

Nepal Guidify does not guarantee employment opportunities, hiring outcomes, salary levels, qualifications, employer legitimacy, or recruitment results.

Users are solely responsible for conducting due diligence before submitting applications or personal information.

9. Intellectual Property Rights

The Platform, including its design, code, databases, trademarks, logos, graphics, text, software, and related materials, is owned by or licensed to Nepal Guidify and protected under applicable intellectual property laws.

Except as expressly authorized, no content from the Platform may be copied, reproduced, distributed, modified, transmitted, or exploited without prior written consent from Nepal Guidify.

10. Privacy and Data Protection

Collection and processing of personal information shall be governed by the Platform's Privacy Policy, Cookie Policy, and applicable laws of Nepal, including the Privacy Act, 2075 and related regulations.

By using the Platform, users consent to the collection, use, and processing of information as described in those policies.

11. Third-Party Services

The Platform may integrate or contain links to third-party services, including Google, Meta (Facebook), payment gateways, advertisements, analytics providers, social networks, and external websites.

Nepal Guidify neither controls nor assumes responsibility for third-party services and disclaims liability arising from their use.

12. Service Availability

Nepal Guidify does not guarantee that the Platform will be available, secure, uninterrupted, error-free, or free from harmful components.

The Company reserves the right to modify, suspend, restrict, or discontinue all or any portion of the Services at any time without prior notice.

13. Disclaimer of Warranties

The Platform and all Services are provided on an "AS IS" and "AS AVAILABLE" basis.

Nepal Guidify expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of accuracy, reliability, merchantability, fitness for a particular purpose, title, and non-infringement.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Nepal Guidify, its directors, officers, employees, affiliates, contractors, and partners shall not be liable for any indirect, incidental, consequential, punitive, special, or exemplary damages arising from:

• Use of or inability to use the Platform;
• Business interruption;
• Data loss or corruption;
• Unauthorized access or security breaches;
• User-generated content;
• Third-party services or transactions;
• Errors, omissions, or inaccuracies in content.

15. Indemnification

You agree to indemnify, defend, and hold harmless Nepal Guidify, its directors, employees, affiliates, service providers, and partners from and against any claims, disputes, liabilities, damages, losses, penalties, costs, or expenses arising from:

• Your use of the Platform;
• Your violation of these Terms;
• Your violation of any law or regulation;
• Your infringement of third-party rights.

16. Suspension and Termination

Nepal Guidify reserves the right, without notice and at its sole discretion, to suspend, restrict, terminate, or remove accounts, content, or access to the Platform where:

• These Terms are violated;
• Legal or regulatory concerns arise;
• Fraudulent activities are suspected;
• The security or integrity of the Platform may be compromised.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Nepal.

Any dispute arising out of or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the competent courts of Nepal.

18. Severability

If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

19. Amendments

Nepal Guidify reserves the right to modify, update, or amend these Terms at any time.

Continued use of the Platform following publication of revised Terms shall constitute acceptance of such amendments.
